Representative Work

Pat's client service philosophy focuses on understanding his clients' business, providing creative legal strategies to achieve his clients' objectives, and addressing issues that arise pro-actively. His primary areas of interest are:

  • Corporate and commercial strategic planning and the organization and re-organization of business enterprises including corporations, unlimited liability companies, limited liability companies, joint ventures, partnerships, limited partnerships, limited liability partnerships, proprietorships, and trusts
  • Business organization governance planning and structuring including shareholder agreements, partnership agreements, limited partnership agreements and joint venture agreements
  • Mergers, acquisitions, divestitures and reorganization of business enterprises
  • Negotiating business transactions and drafting agreements
  • Pure corporate matters including share capitalizations, reorganizations, amalgamations, arrangements, continuations, winding ups, and liquidations 
  • International transactions involving the acquisition and divestiture of business enterprises within and outside of Canada
  • Advising on most operational aspects of business enterprises, including employment matters, contract matters, real and personal property leasing matters, products and service warranty matters
  • Providing practical advice to business organizations to solve operational problems 
  • Business enterprise succession planning
  • Corporate dispute resolution

Profile

Pat practices general corporate/commercial law and has experience in a wide range of corporate matters, from assisting start-up companies with all facets of their business, to advising on multimillion-dollar domestic and international transactions. He acts for both vendors and purchasers in mergers, acquisitions, and divestitures involving both public and private companies.

Pat has been both an instructor and an evaluator for the Law Society of Alberta Bar Admission Course in addition to sitting on the Bar Admission Examination Review Committee for LESA. He has been a contributing author to the revisions to the Alberta Corporation Law Guide published by the CCH Canada Ltd. concerning the Business Corporations Act for Alberta. Pat has spoken at CLE seminars for the legal community in addition to regularly giving numerous private seminars to clients and other interested groups in a wide range of subjects touching on the operations of business enterprises. Currently, he sits as the chair of the firm's Business Law Group.

Pat has been recognized by Best Lawyers in Canada in the specialty of Mergers and Acquisitions.
