Corporate Paralegal (Edmonton): Bryan & Company LLP is expanding our corporate department and is recruiting for a Corporate Paralegal to work in a team environment. The successful candidate will have intermediate to senior level of legal experience together with Cores Level III Accreditation. The ideal candidate’s experience will include but not limited to the following tasks and duties in the position:

•Document preparation and on-line registrations for various CORES Level 1, 2 and 3 transactions. Including Incorporations, Amalgamations, Name Changes, Director Changes, Annual Returns, Extra Provincial Registrations, Revivals, Dissolutions, Amendments,Trade name and partnerships, assisting and drafting the Articles and Memorandum of Association for the Incorporation of Non-For-Profit Part 9 Companies on the Alberta Corporate Registry System
•Preparing the Minute Book and Register of the Corporation, Reporting packages for clients
•Preparation of Resolutions and related documents to Amend the Articles of a Corporation and related documents to effect the Transfer the Subscription of Shares
•Preparation of Resolutions and related documents to effect the changes to the Directors/Officers of the Corporation, declarartion of bonuses, dividends, salaries or other payments made by a Corporation, redemption or purchase of shares
•Assembling Closing Books
•Ordering Corporate Seals
•Liaise with responsible lawyer(s) and Students at-Law respecting the requirements for Registration
•Obtaining Pre-Screen Name Search results and NUANS reports to reserve the proposed name of a corporation
•Experience working in the ALF Software program would be an asset
•Responsible for managing the workload with speed and accuracy and enjoy working in an environment that fosters development, balance and respect.

Floater - Litigation Legal Assistant (Calgary): Bryan & Company LLP requires a professional assistant to work part time, three days per week assisting with overflow and vacation relief in our litigation department. Our ideal candidate will possess a minimum of 2 years litigation experience, a positive attitude, enjoy multitasking in a team environment, exceptional organizational skills, be proficient and in particular, spelling and grammar.
